1. Introduction
These Terms and Conditions of Service (the "Terms") govern the relationship between Incredible Home Decor (the "Company") and you (the "Client") with respect to the Company's provision of interior drawing services (the "Services"). By entering into a contract with the Company, you agree to be bound by these Terms.
2. Services
The Company will provide the Services in accordance with the agreed upon scope of work and the Company's standard practices. The Company will use reasonable efforts to complete the Services in a timely manner and to meet the Client's expectations.
3. Fees
The Client will pay the Company the fees set forth in the agreed upon scope of work. The fees are due upon completion of the Services.
4. Ownership
The Company owns all intellectual property rights in the drawings created by the Company. The Client will receive a non-exclusive, non-transferable license to use the drawings for the purposes set forth in the agreed upon scope of work.
5. Changes
Any changes to the agreed upon scope of work must be in writing and signed by both parties. The Company may charge additional fees for changes to the agreed upon scope of work.
6. Termination
Either party may terminate this Agreement at any time upon written notice to the other party. If the Client terminates this Agreement for convenience, the Client will be responsible for paying the Company for all work performed up to the date of termination.
7. Dispute Resolution
Any disputes arising out of or relating to this Agreement will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be held in the city of delhi in the state of India.
8. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of india.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision will be struck from this Agreement and the remaining provisions will remain in full force and effect.
11. Waiver
No waiver of any provision of this Agreement will be effective unless in writing and signed by both parties.
12. Notices
All notices and other communications hereunder will be in writing and will be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows: If to the Company: Incredible Home Decor [address] If to the Client: [name of Client] [address of Client] or to such other address as either party may designate in writing from time to time.
13. Headings
The headings in this Agreement are for convenience only and will not affect its interpretation.
14. Counterparts
This Agreement may be executed in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.
